These Terms apply when you register or manage a business (a brand and its places) on Spoty.app — on spoty.app, in the Spoty.app apps or through the Spoty.app Telegram bot for businesses. They are provided by SIA SPOTY.APP, registration No. 40203789400, legal address Loka maģistrāle 23-5, Jelgava, Latvia ("Spoty.app", "we"). "You" means you and the business you represent. The Terms of Use and the Privacy Policy also apply. You accept these Terms when you register a business or accept an invitation to one or, if they change, the next time you sign in while you have access to a brand.
Signed-in users can register a business: the brand name, its places (address, city, location on the map, opening hours, phone, website) and, optionally, a logo and legal details. You become an owner of the brand. If a brand or place with the same name, or a place at the same address, is already on Spoty.app, a new brand is not created and you can contact us instead (section 2.2). If your place shares an address with other businesses, you can confirm this and register anyway; we may check such registrations.
Many places are added to Spoty.app by us. If you own or represent such a place, write to [email protected]. We check that you represent the business (for example, against public registers, maps and the place's website or social media, or by calling the place's public phone number) and may ask you for more information. Once confirmed, we send you an invitation to the brand. If we refuse, we tell you the reason.
An owner can invite other people with a link and a code tied to their email or phone number. An invitation is valid for 7 days, can be used once and gives access to the whole brand. Owners can revoke invitations and remove other owners. You are responsible for whom you give access to your brand.
You can give up a brand in business mode. Your access ends; if you were the last owner, the brand stays on Spoty.app without an owner. If you are the only owner of a brand, you have to hand it over to another owner or give it up before you can delete your account.
By registering a business or using business access you confirm that:
You grant Spoty.app a non-exclusive, royalty-free, worldwide licence to store, display, reproduce and adapt (for example resize, crop, convert or translate) the logos, photos and texts you upload, in the Service and when promoting the Service and your places, for as long as your business is on Spoty.app. You keep all your rights to this content.
You can create, edit, hide and delete offers in business mode on spoty.app or through the Telegram bot. An offer can apply to one or more places of the brand, for one day or for a period of up to 30 days, on the weekdays you choose. Hiding takes an offer off the Service without deleting it. Limits on the number of offers and checks for duplicates may apply.
You can send a photo or text of a menu. If automatic processing is turned on, we send the image or text to our processor Anthropic, which prepares a draft of the offer; you review and correct the draft before publishing — the published offer is your content. Photos are re-encoded and their metadata (EXIF) is removed. We keep the photos and texts you send together with their drafts while your account exists.
Spoty.app may also publish offers for your places that it collects from public sources, such as your website or social media. If you do not want this, write to us.
In business mode you see statistics for the places of your brand — for example, appearances on the map and in lists, page views, route requests, shares and additions to favourites — and the number of people who follow your places. You do not see who they are. Statistics are counted automatically, exclude known bots and may be approximate.
To keep the Service reliable we may:
We do this in particular when data look false, a registration duplicates an existing business, access is disputed, content is unlawful or misleading, or these Terms are breached. Actions with business access are logged. We tell the owners the reason and what it is based on by email, Telegram or push notification — beforehand, or right after acting if the matter is urgent — unless the law or security reasons prevent it. If you disagree, write to [email protected] within 6 months; we will review the decision and reply.
We send owners service messages about their business — for example, about invitations and changes of access, reminders when a place has no offer for today, offers that are about to end, new followers and a monthly report. Owners choose the channels (push notification, Telegram, email) in Profile → Business notifications.
At the moment all business tools are free of charge. We plan to introduce these plans:
A billing account covers one or more brands and holds the payer's details, plans and invoices. Before paid plans start, we will publish their prices, features and payment terms in a new version of these Terms. Nothing is charged unless you choose a paid plan.
This feature is not available yet. When it is introduced, we will add its terms here. Such messages will reach only users who have given marketing consent.
The Service is provided "as is". We do not guarantee any number of guests, views or other results, and we are not responsible for services of third parties (for example Google, Telegram or the automatic menu reader — check every draft before you publish it).
We are not liable for indirect losses, such as lost profit, lost revenue or lost data. Our total liability to you under these Terms is limited to the fees you paid us for the 12 months before the claim; if you have paid us nothing, we are not liable for damages. These limits do not apply to damage caused intentionally or through gross negligence, or where the law does not allow liability to be limited.
You compensate Spoty.app for claims of third parties, fines and reasonable costs (including legal costs) caused by your content or by your breach of these Terms or the law — for example, photos you had no right to use, wrong prices or unlawful advertising of alcohol. We tell you about such a claim promptly.
When these Terms change materially, we publish a new version, and owners are asked to accept it at their next sign-in. Minor corrections that do not change the meaning (for example typos or updated contact details) are published as a new version without asking again. The version number and its date are shown at the top of this page.
You can stop using business access at any time by giving up the brand or deleting your account. The brand and its places then stay on Spoty.app as public information about the places until they are deleted. If you want your logos, photos or texts corrected or removed, write to [email protected] — we do it within 3 business days. We may end your business access as described in section 6.
These Terms are governed by the law of the Republic of Latvia. If you have a complaint, write to us first. Disputes we cannot resolve together are decided by the courts of the Republic of Latvia.
